Terms of Service

These Terms of Service govern your access to and use of the SeatedIQ platform. Please read them carefully before using the service.

1. Acceptance of Terms

By creating an account or using any part of the SeatedIQ platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using SeatedIQ on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the service.

2. Eligibility & Account Registration

You must be at least 18 years old to use SeatedIQ. The platform is intended for restaurant operators, food & beverage businesses, and their authorized staff.

When you register, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your password secure and not share account credentials.
  • Notify us immediately if you suspect unauthorized access.
  • Take responsibility for all activity that occurs under your account.

3. Subscription, Billing & Cancellation

Free trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the service.

Paid subscriptions

Subscriptions are offered on monthly or annual billing cycles. Prices are as published on our Pricing page and subject to change with 30 days' notice. Annual plans are billed in full at the start of each billing period.

Per-location pricing

Your base subscription covers your primary location. Each additional restaurant location is billed at the published per-location rate for your plan.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial periods except where required by applicable law.

Failed payments

If a payment fails, we will retry it and notify you by email. Accounts with overdue balances may be suspended after reasonable notice.

4. Acceptable Use

You agree to use SeatedIQ only for lawful purposes. You must not:

  • Use the platform to send spam or messages to contacts who have not consented to receive them.
  • Violate the TCPA, CAN-SPAM Act, CASL, GDPR, or any other applicable law.
  • Impersonate any person or entity.
  • Attempt to gain unauthorized access to any part of the platform.
  • Reverse-engineer, decompile, or extract the source code of the platform.
  • Transmit malicious code, viruses, or disruptive data.
  • Resell or white-label the platform without written consent.

We reserve the right to suspend or terminate accounts that violate these rules without refund.

5. Messaging Compliance

SeatedIQ provides tools to send SMS, WhatsApp, and email messages to your guests. You are solely responsible for ensuring all messages comply with applicable law, including TCPA and carrier requirements.

You represent and warrant that:

  • You have obtained proper prior express written consent from each recipient before sending automated or marketing messages.
  • Each message includes a clear opt-out mechanism.
  • You will promptly honor all opt-out requests.
  • You will not send messages to numbers on the national Do-Not-Call registry for marketing purposes.

SeatedIQ is not liable for fines or claims arising from your failure to comply with messaging laws. You agree to indemnify us against any such claims.

6. Guest Data & Data Processing

You retain ownership of all guest data you input into SeatedIQ. You are the data controller and SeatedIQ is your data processor with respect to guest personal data. Our data processing practices are governed by our Privacy Policy and, where applicable, a Data Processing Agreement available upon request.

7. Third-Party Integrations

SeatedIQ integrates with third-party services including reservation platforms, messaging providers (Twilio, Telnyx), and payment processors (Stripe). Your use of these integrations is subject to the applicable third-party terms of service. We are not responsible for the availability or practices of third-party services.

8. Intellectual Property

SeatedIQ and all related technology, designs, trademarks, and content are the exclusive property of SeatedIQ and its licensors. These Terms do not grant you any ownership rights in the platform. You retain all rights in content you create using the platform.

9. Disclaimers

THE SEATEDIQ PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEATEDIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS OR ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless SeatedIQ and its affiliates, officers, directors, and employees from any claims, liabilities, or expenses arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any messaging or privacy laws; or (d) your guest data or how you use it.

12. Termination

Either party may terminate the agreement at any time. You may cancel your account from the account settings page. We may suspend or terminate your access immediately if you violate these Terms or applicable law. Sections that by their nature should survive termination will survive.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States. Disputes will first be subject to informal negotiation; if unresolved within 30 days, they will be resolved by binding arbitration under AAA rules on an individual basis (no class actions).

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice in the platform at least 14 days before the new terms take effect.
